Client Engagement Agreement

Additional terms (pages 2–3)

The signed agreement is three pages. Additional Terms are incorporated into this Agreement. Review all pages before signing on page 3.

3Term & Termination

  • This Agreement begins on the date signed below and continues on a month-to-month basis (for recurring services) or until the project scope above is completed (for one-time projects).
  • Either party may terminate this Agreement for any reason with thirty (30) days' written notice.
  • Provider may terminate immediately if Client fails to pay fees when due or fails to provide information reasonably necessary to perform the Services.
  • Upon termination, Client remains responsible for fees earned through the termination date, and Provider will return Client's original records within a reasonable time.

4Fees & Payment

  • Invoices are due upon receipt unless otherwise agreed in writing; accounts more than 15 days past due may be subject to a late fee and/or suspension of services.
  • Fees do not include third-party costs (e.g., software subscriptions, filing fees) unless specified above; such costs will be billed separately or passed through at cost.
  • Rates may be adjusted for future engagement periods with at least 30 days' written notice to Client.

5Client Responsibilities

Client will provide timely, accurate, and complete information reasonably requested by Provider; remain responsible for management decisions and internal controls; review work product and promptly identify known errors or omissions; and remain responsible for the accuracy and completeness of information supplied to Provider.

6Nature and Limits of Services

Provider is not a law firm, CPA firm, investment adviser, broker-dealer, insurance agency, or lender. Unless separately agreed in writing and lawfully provided, the engagement does not include legal services, audit or attestation services, tax-return preparation, investment or securities advice, insurance advice, or other regulated professional services. Client should consult appropriately licensed professionals for those matters. Provider may rely on Client-provided information and does not audit or independently verify that information unless expressly agreed in writing.

7Financing Matters

Provider may help Client evaluate financing needs, organize information, prepare analyses or projections, develop lender-ready materials, and prepare for lender discussions. Provider does not make credit decisions and does not guarantee approval, funding, interest rates, terms, timing, or any lender outcome. All lending decisions and terms are determined solely by the applicable lender or financing source.

8Forecasts, Projections and Decisions

Budgets, forecasts, projections, scenarios, and other forward-looking analyses are estimates based on assumptions and information available at the time. Actual results may differ materially. Client remains responsible for all business, financing, hiring, investment, tax, legal, and operational decisions.

9Confidentiality and Information Handling

Provider will use reasonable care to keep nonpublic Client information confidential and use it for the engagement and related administrative purposes. Information may be disclosed when authorized by Client, reasonably necessary to service providers supporting the engagement subject to appropriate confidentiality obligations, or required by law. Client acknowledges that ordinary email and electronic transmission carry inherent security risks.

10Records and Work Product

Client retains ownership of original Client records. Upon request and subject to payment of amounts due, Provider will return original records within a reasonable time. Provider may retain copies for legitimate business, legal, insurance, or recordkeeping purposes. Provider's pre-existing templates, methodologies, know-how, and internal materials remain Provider's property; Client may use final deliverables prepared specifically for Client for Client's internal business purposes.

11No Third-Party Reliance

Unless Provider expressly agrees otherwise in writing, services and deliverables are prepared solely for Client's use. No third party may rely on them, and Provider assumes no duty or responsibility to any third party based on this engagement.

12Independent Contractor

Provider is an independent contractor and is not an employee, partner, joint venturer, fiduciary, agent, or legal representative of Client. Provider has no authority to bind Client or commit Client to a transaction unless expressly authorized in writing.

13Limitation of Responsibility

Provider will perform services in a professional and commercially reasonable manner consistent with the agreed scope. Provider is not responsible for losses caused by inaccurate, incomplete, or untimely information supplied by Client or third parties; decisions made by Client, lenders, taxing authorities, regulators, or other third parties; or events beyond Provider's reasonable control.

14Entire Agreement; Changes

This Agreement, together with any signed proposal, scope schedule, or written amendment incorporated by reference, states the parties' agreement concerning the services. Changes to scope or fees must be agreed in writing. If a proposal conflicts with this Agreement, the more specific written term governing the particular service will control unless the parties expressly agree otherwise.

15Acknowledgment

Client acknowledges that it has had the opportunity to ask questions about the scope, fees, and terms of this engagement and to seek independent legal, tax, or other professional advice before signing.
